Advising Netex on its sale to BD Capital

‘UK investment fund BD Capital has submitted a formal proposal to the shareholders of Netex, a Spanish education technology company, to acquire all of its shares. This offer, considered friendly by both parties, values Netex at over 65 million euros and sets a price of 4.75 euros per share. This represents a significant increase of 25% compared to last Friday's closing share price and 28% above the weighted average value over the last six months.

Beyond the share acquisition, BD Capital is committed to inject EUR 7.5 million into Netex to drive its expansion and growth. This proposal has been approved by the company's major shareholders. It should be noted that BD Capital has already obtained ‘irrevocable commitments’ from other Netex shareholders to accept the offer, representing 50.5% of the company's total capital.

In this transaction, Netex and its reference shareholders have been advised by a multidisciplinary team of Capital Markets and M&A lawyers from the Martínez-Echevarría law firm under the leadership of partners Ramón Ruiz de la Torre Esporrín and Manuel Toledano Lanza, with the participation of lawyer Jaime Signes-Costa Smith among others.
