This practice area of the department encompasses, within the realm of Public Law, legal assistance in the following:

  • Granting of authorizations and licenses for the construction and operation of energy production facilities.
  • Compulsory expropriation procedures.
  • Procedures concerning the public administrations’ patrimonial liability.
  • Tax issues arising from the construction and operation of production and transportation facilities.
  • Procedures conducted before the National Commission on Markets and Competition.
  • Legal advice on the transfer of energy production facilities.

In the field of Private Law, the department’s practice area provides, among others, the following professional services:

M&A operations and commercial contracting:

In close collaboration with the Mergers and Acquisitions team, we are involved in all types of acquisition processes, divestitures, build-up and spin-off processes, as well as investment and divestment agreements in energy sector businesses and companies, at all stages:

  • Drafting and negotiation of confidentiality agreements, letters of intent, and memoranda of understanding as preparatory steps for an acquisition or divestiture.
  • Participation in the preparation and negotiation of offer letters, both binding and non-binding.
  • Legal review of businesses and companies (Legal Due Diligence).
  • Preparation and negotiation of sale and purchase agreements, as well as investment and shareholder agreements.

Review, drafting, and negotiation of contracts specific to energy activities:

  • Development and construction contracts (EPC, O&M, Co-development, etc.);
  • Service agreements;
  • Physical and financial energy purchase agreements (PPAs);
  • TSA supply contracts (Turbine Supply Agreements).

Financing of renewable energy projects (photovoltaic, solar thermal, wind, biomass, small hydropower, etc.).
